Notifications pursuant to Article 69 of the Act on Public Offering on the sale and acquisition of a significant block of shares

The Management Board of STALPROFIL S.A. (hereinafter referred to as the Company) hereby announces that the Company has received notifications under Article 69 of the Act on public offering and conditions for introducing financial instruments to organized trading and on public companies (i.e. Journal of Laws of 2024, item 620) about the registration on October 31, 2024 of the division of ArcelorMittal Poland S.A. by spinning off part of the assets (including all of the Company's shares) to a newly established entity, which is ArcelorMittal Investment Management Poland Sp. z o.o. This means that on October 31, 2024, an event took place that was the basis for the transfer of the Company's shares previously held by ArcelorMittal Poland S.A. to ArcelorMittal Investment Management Poland Sp. z o.o., a company established as a result of the division.
According to the content of the notification, the change in the shareholding of the issuer occurred as a result of the internal reorganization of the capital structure of the ArcelorMittal Group in Poland. At the same time, the ArcelorMittal Group maintains its interest in long-term holding of the issuer's shares.
Notifications submitted by the authorized representative:
- from ArcelorMittal Poland SA pursuant to Article 69 of the Act on Public Offering on reducing the shareholding in Stalprofil and the number of votes to zero,
- from ArcelorMittal Investment Management Poland Sp. z o. o., pursuant to Article 69 of the Act on Public Offering on the acquisition of all Stalprofil shares previously held by ArcelorMittal Poland SA
